Contemplated private placement in Dannemora Mineral of SEK 130-150 million

Not for release, publication or distribution, in whole or in part directly or indirectly, in Australia,Canada, Japan or the United States.   Dannemora Mineral AB has engaged Swedbank First Securities AS as manager and Sole Bookrunner to advice on and effect a potential private placement of SEK 130-150 million towards Norwegian and other international investors. Remium Nordic has been engaged as a Sales Agent for the private placement.   The contemplated Private Placement will consist of new class B shares, each with a nominal value of SEK 0.16. The subscription price in the Private Placement will be set through an accelerated bookbuilding process at or close to the closing price 9 October 2012 of the Dannemora share on First North in Stockholm. Minimum subscription is an amount equivalent to EUR 100,000.   The purpose of the Private Placement is to finance the liquidity gap, communicated in the Q2 report dated 23 August 2012 and to raise a capital reserve for the Company.   The book-building period will commence today, 9 October 2012 at17:30 CET and close on 10 October 2012 at 08.30 CET. The Company may, however, at any time resolve to close or extend the bookbuilding period, but will in no event close earlier than 9 October 2012 at 18:30 CET.   The subscribers in the private placement will be delivered newly issued class B shares in the company registered in the Swedish shares registry Euroclear or the  Norwegian share registry VPS at the subscribers option.   The private placement is subject to approval by the board of directors of Dannemora Mineral and subject to approval by an Extraordinary General Meeting expected to be held on or about 26 October. The board reserves the right, in its absolute discretion, to cancel the private placement at any time.   Listing and trading of the offer shares on First North and Oslo Axess will take place as soon as practically possible after the EGM, expected on or about 26 October and subject to approval of a listing Prospectus by the Norwegian FSA.   The Company may conduct a limited subsequent share issue with preferred allocation for existing shareholders of the Company who were not offered to participate in the Private Placement.   The Press Release can be download from the link below:  Press Release 9 October 2012 Dannemora Mineral
